Dear ISOC-CH members
As you may have noticed, the agenda for the next GA has been enhanced on short notice with a statutes change proposal, which intends to increase the number of Board members. As I understood from the proponents, the goal is to:
- have more people involved in Board activities
- having people to replace board members in case someone is unable to fulfill the duties temporarily or permanently
The proposal to simply increase the Board IMHO has some weaknesses (based on my own 4year experience in ISOC-CH Board)
- Coordination within the Board in a geographically distributed manner is challenging already now
- the more members the more challenges
- Finding slots for Board-meetings get even more difficult
- More people means more need for coordination and more potential for frictions
- More seats are likely to attract less-qualified people for board
- number of qualified candidates available among the membership is not particularly high

- The counter-proposal allows to keep the Board small and flexible, while addressing the motivations for the main proposal:
- Introduce the Extended Board, consisting of the Board and a pool of Additional Members of the Extended Board (AMEB)
- AMEB are simply nominated by the Board and confirmed by the GA
- AMEB duties are assigned / delegated by the Board
- AMEB can be elected to replace vacancies in the Board, if needed
- Board remains in charge of running the chapter and can decide to involve AMEB whenever needed and sensible
- AMEB duties are assigned by the Board
- Furthermore the voting procedures for the Board are simplified, i.e. open ballot allowed, if vote is in teams
- Clarified secret ballot requirements
